These Terms of Service ("Terms") govern your use of the ShadowPrice MCP service ("Service") operated by ShadowPrice ("we," "us," or "our"). By subscribing to or using the Service, you agree to be bound by these Terms.

1. Service Description

ShadowPrice provides a Model Context Protocol (MCP) server that delivers B2B SaaS pricing intelligence to AI agents (Claude, Cursor, and compatible MCP clients). The Service includes access to aggregated pricing data, historical discount benchmarks, and AI-generated negotiation recommendations.

2. Subscription & Billing

  • The Service is offered at $49 per month (monthly) or $490 per year (annual, save 16%).
  • Payment is processed securely through Gumroad.
  • You may cancel at any time through your Gumroad receipt link. Cancellation takes effect at the end of your current billing period.
  • No refunds are issued for partial months. If you cancel mid-cycle, you retain access until the end of your paid period.

3. Data Sources & Accuracy

The pricing intelligence provided by ShadowPrice is aggregated from publicly available information, including but not limited to: public pricing pages, community discussions, anonymized user-contributed data, and publicly leaked contract details.

  • All data is provided for informational and negotiation purposes only.
  • We do not guarantee the accuracy, completeness, or timeliness of any pricing data.
  • Pricing intelligence should be used as a starting point for negotiation, not as definitive market pricing.

4. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ShadowPrice is provided on an "AS IS" and "AS AVAILABLE" basis.
  • We hold no liability for the outcome of your vendor negotiations, procurement decisions, or any financial consequences arising from the use of our data.
  • Our total liability to you shall not exceed the amount you paid us in the three (3) months preceding the claim.

5. Acceptable Use

You agree not to:

  • Resell, redistribute, or publicly republish ShadowPrice data without written consent.
  • Attempt to reverse-engineer, scrape, or extract bulk data from the Service.
  • Use the Service to engage in illegal activity or to harm third parties.
  • Share your API key with unauthorized third parties.

6. API Key & Access

Your API key is personal and non-transferable. You are responsible for keeping it secure. If you suspect unauthorized use, contact us immediately and we will issue a replacement key.

7. Termination

We reserve the right to suspend or terminate your access if you violate these Terms. In such cases, no refund will be issued. You may terminate your subscription at any time by canceling through Gumroad.

8. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
